A. Order Effective Conditions
1. 2. After the order takes effect, both you and us shall strictly perform their respective obligations in accordance with the order agreement, and shall not arbitrarily change or terminate the order. If it is really necessary to change or terminate the order, it shall be confirmed by both parties through negotiation and signing a written supplementary agreement.
B. Payment Terms
1. Payment Method: Both parties agree to adopt the payment mode of advance payment + final payment. The proportion of advance payment is generally 60%-80% of the total order amount, and the final payment shall be paid before the products are produced and delivered to the logistics carrier. The specific proportion and method of payment can be separately agreed in the order contract, in full compliance with the relevant cross-border payment compliance requirements.
2. Payment Period: Please pay the advance payment within 3 working days after the order takes effect, and the final payment shall be paid before you accept the products and the products are delivered to the logistics carrier. If you fail to settle the final payment, we will refuse to deliver the products to the logistics carrier. If it is overdue for more than 7 working days, we have the right to suspend the order production or even terminate the order, the advance payment you have paid will not be refunded, and you shall compensate for all the losses caused to us.
C. Delivery Terms
1. Delivery Cycle: The sample delivery cycle is 5-15 working days (calculated from the date you confirm the sample parameters and pay the sample fee); the bulk product delivery cycle is 15-30 working days (calculated from the date you pay the advance payment and confirm the production parameters). These cycles cover production only and are counted from the date the parameters are confirmed and the corresponding payment is received; freight and customs transit time are additional. If the delivery is delayed due to your reasons (such as delayed confirmation of parameters, delayed payment of advance payment), the delivery cycle will be extended accordingly.
2. Delivery Method: We will deliver the products to the foreign address designated by you in accordance with the order agreement by means of global logistics and door-to-door delivery. The party responsible for the logistics cost shall be separately agreed by both parties in the order contract, in full compliance with the relevant cross-border logistics compliance requirements. (Due to local regulatory restrictions in some countries, you need to complete the customs clearance by yourself and bear the relevant taxes and fees, and you need to actively cooperate with the customs clearance work. If you default on cooperating with the customs clearance and cause the goods to be detained, the relevant costs incurred shall be borne by you; if any loss such as loss or damage of the goods is caused, it shall be borne by you, and we will regard it as you have signed for the products and confirm the order completion.)
3. Delivery Acceptance: After you receive the products, you shall complete the acceptance within 3 working days. 2. We will formulate a detailed customization plan (including product parameters, design drawings, quotation, delivery cycle, etc.) according to the needs you provide and submit it to you for confirmation.
3. Please review the customization plan. If you have any modification opinions, you can timely feedback to us, and we will adjust the plan and submit it to you for confirmation again. If you have no modification opinions and agree to and confirm the plan, we will start the sample production or bulk production.
4. After the customization plan is confirmed, please do not arbitrarily modify the parameters. If it is really necessary to modify the parameters, it shall be agreed by both parties through negotiation before the start of production. The modification may lead to the extension of the delivery cycle and the increase of costs, and the adjustment of relevant costs and cycles shall be separately agreed and confirmed by both parties.
E. Liability for Breach of Contract
1. If we fail to deliver the products in accordance with the time, quality and quantity agreed in the order, we will communicate and negotiate with you in a timely manner and provide a specific and feasible solution. If the products have quality problems, after verification, we will provide you with solutions such as maintenance and replacement within 7 working days. If the products cannot be repaired or replaced, we will rearrange the production and reissue qualified products in the same quantity as the unrepairable and returned products.
2. If you violate the order agreement and have behaviors such as overdue payment of money, arbitrary change or termination of the order, providing false parameters, etc., you shall bear the corresponding liability for breach of contract and compensate for all the losses caused to us (including but not limited to production costs, logistics costs, expected profits, etc.).
V. Disclaimer
We shall not be liable for any losses caused by the following circumstances, please understand:
1. Any losses caused by your own reasons such as providing false information, arbitrarily modifying customization parameters, overdue payment of money, etc., such as order delay, product quality problems or other losses;
2. Any losses caused by force majeure (such as earthquake, fire, flood, war, policy adjustment, supply chain interruption, etc.), such as order non-performance, delivery delay, etc.;
3. Any losses such as product damage and failure caused by your failure to use the products in accordance with the product use specifications;
